1. AGREEMENT TO TERMS

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“Client,” “Customer,” “you,” or “your”) and Leads Monkey Ltd (“Leads Monky,” or “Leads Monkey” or “we,” “our,” or “us”) governing your use of our Google Workspace reseller services and cold email infrastructure setup services.

BY PURCHASING, ACCESSING, OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree, do not use our services.

For business entities, the person accepting these Terms represents and warrants that they have authority to bind the organization to this Agreement.


2. SERVICES OFFERED

Leads Monkey provides the following business-to-business (B2B) services:

2.1 Google Workspace Reseller Services

We are an authorized Google Workspace reseller and provide:

  • Google Workspace license procurement and provisioning
  • Account setup and configuration
  • Domain verification and DNS management
  • User account creation and administration
  • Migration assistance from existing email systems
  • Ongoing technical support

Available Plans:

  • Business Starter: $2.50 – $4.50 per user/month (minimum 15 users)
  • Business Standard: $13.20 per user/month
  • Business Plus: $20 per user/month
  • Enterprise: Custom pricing

Pricing is subject to change with 30 days’ notice to existing customers.

2.2 Cold Email Infrastructure Setup

For customers using Google Workspace for cold email outreach, we provide:

  • DNS configuration (SPF, DKIM, DMARC records)
  • Domain and subdomain setup
  • USA-based IP allocation
  • Email authentication setup
  • Spam protection configuration
  • Email warmup guidance
  • Deliverability monitoring setup
  • Integration with cold email tools (Smartlead, Instantly.ai, etc.)

2.3 Support Services

  • Technical Support: Email and WhatsApp support for configuration issues
  • Setup Assistance: One-time setup included with all plans
  • Documentation: Access to setup guides and best practices
  • Response Time: Within 24-48 hours for standard support; priority support available for Enterprise plans

3. ACCOUNT REGISTRATION AND ELIGIBILITY

3.1 Eligibility

Our services are designed for business use only. You must:

  • Be at least 18 years of age
  • Represent a legitimate business entity
  • Have authority to enter into this Agreement
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities under your account
  • Notifying us immediately of unauthorized access
  • Using strong passwords and enabling two-factor authentication

We are NOT liable for losses due to unauthorized use of your account.

3.3 Account Information

You must provide:

  • Accurate business name and contact information
  • Valid email address and phone number
  • Current billing information
  • Domain name(s) for configuration

You must update this information within 5 business days of any changes.


4. SUBSCRIPTION AND BILLING

4.1 Subscription Plans

All plans are subscription-based:

  • Monthly billing: Charged on the same day each month
  • Annual billing: Charged once per year with discounted rates (if applicable)
  • Minimum commitment: 15 users for Business Starter plan
  • No free trials offered

4.2 Payment Terms

PAYMENT IN ADVANCE:

  • All subscriptions must be paid in advance
  • First payment due upon account creation
  • Subsequent payments due on renewal date
  • We accept: Credit/debit cards, PayPal, bank transfers, cryptocurrency

Auto-Renewal:

  • Subscriptions automatically renew unless cancelled
  • You authorize recurring charges to your payment method
  • Renewal occurs at the then-current pricing

4.3 Billing Cycle

Your billing cycle begins on:

  • The date you first subscribe (monthly plans)
  • The anniversary date of your subscription (annual plans)

Billing notifications:

  • Email reminder 7 days before renewal
  • Renewal receipt sent after successful payment

4.4 Payment Processing

We use third-party payment processors:

  • Your payment data is handled securely by PCI DSS compliant processors
  • We do NOT store complete credit card numbers
  • Payment disputes must be addressed within 30 days

4.5 Failed Payments

If your payment fails:

  • Day 1: Automated retry
  • Day 3: Email notification sent
  • Day 5: Second retry attempt
  • Day 7: Service suspension
  • Day 14: Account termination and data deletion

Reactivation after suspension:

  • Pay outstanding balance plus any late fees
  • $25 reactivation fee may apply
  • No guarantee of data recovery after termination

4.6 Taxes

Prices are exclusive of taxes.

  • You are responsible for all applicable taxes (VAT, GST, sales tax)
  • Tax rates based on your billing address
  • Tax invoices provided upon request

4.7 Price Changes

We may adjust pricing with 30 days’ advance notice to existing customers. Notice will be sent via email to your registered address.

Your options:

  • Accept the new pricing (take no action)
  • Downgrade to a lower-tier plan
  • Cancel your subscription before the price change takes effect

Continued use after the notice period constitutes acceptance of new pricing.


5. REFUND AND CANCELLATION POLICY

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY.

5.1 No Refunds Policy

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS except as required by law or in cases of:

  • Service unavailability exceeding our SLA (99.9% uptime)
  • Billing errors (overcharges will be refunded or credited)
  • Fraudulent charges (with proper documentation)

No refunds for:

  • Partial month usage
  • Unused licenses
  • Change of mind
  • Dissatisfaction with service
  • Failure to use the service
  • Account suspension due to policy violations

5.2 Cancellation Policy

You may cancel at any time with 5 days’ advance notice.

To cancel:

  • Email info@leadsmonky.com with subject “Cancellation Request”
  • Include: Account email, company name, and cancellation reason
  • Confirmation will be sent within 24 hours

Cancellation effective date:

  • At the end of your current billing period
  • You remain responsible for charges until cancellation is effective

What happens after cancellation:

  • Access continues until the end of paid period
  • No prorated refunds for unused time
  • Data retention: 30 days (see Data Retention section)
  • Google Workspace accounts may be suspended by Google

5.3 Service Suspension or Termination by Leads Monky

We reserve the right to suspend or terminate your account immediately without refund if:

  • You violate these Terms of Service
  • You violate our Acceptable Use Policy
  • You engage in fraudulent activity
  • Payment is past due for more than 14 days
  • We receive legal demands or court orders
  • Your use threatens our infrastructure or other customers

Notice: We will attempt to notify you before termination except in cases of severe violations or legal requirements.


6. DATA RETENTION AND ACCOUNT DELETION

6.1 Data Retention After Cancellation

Upon cancellation or non-payment:

  • 30 days: Your data is retained for potential reactivation
  • After 30 days: Account data is permanently deleted
  • Google Workspace data: Subject to Google’s retention policies

Financial records: Retained for 7 years as required by law.

6.2 Account Reactivation

Within 30-day grace period:

  • Contact us to reactivate
  • Pay any outstanding balance
  • Reactivation fee may apply ($25-$50)
  • No guarantee of full data recovery

After 30 days:

  • Data is permanently deleted
  • New account required
  • Fresh setup process and fees apply

6.3 Data Export

Before cancellation, you should:

  • Export all critical data from Google Workspace
  • Download configuration records
  • Save DNS settings for future reference

We are NOT responsible for data loss after account deletion.


7. GOOGLE WORKSPACE TERMS

7.1 Google’s Terms Apply

Your use of Google Workspace services is governed by:

  • Google Workspace Agreement: https://workspace.google.com/terms/
  • Google Cloud Privacy Notice: https://cloud.google.com/terms/cloud-privacy-notice
  • Google Acceptable Use Policy

We are a reseller only. Google LLC is the service provider for all Google Workspace functionality.

7.2 Our Role as Reseller

Leads Monky:

  • Provisions licenses on behalf of Google
  • Provides setup and configuration support
  • Handles billing and invoicing
  • Offers technical assistance for setup

Google:

  • Operates the Google Workspace platform
  • Controls data storage and security
  • Provides core service uptime and availability
  • Handles service updates and maintenance

7.3 Service Level Agreement (SLA)

Google Workspace SLA: 99.9% uptime

  • Measured by Google, not Leads Monky
  • Service credits available per Google’s SLA terms
  • Downtime credits requested through Leads Monky
  • We will facilitate SLA claims on your behalf

Leads Monky support SLA:

  • Response time: 24-48 hours for standard support
  • Priority support: 4-8 hours for Enterprise customers
  • Emergency support: Best effort basis

7.4 Admin Access and Control

You retain full admin control:

  • Super admin access to Google Workspace Admin Console
  • 100% ownership of your domain and data
  • Ability to manage users, settings, and security

Leads Monky access:

  • We may request temporary access for support purposes
  • Access granted only with your explicit permission
  • Access revoked immediately after issue resolution

8. COLD EMAIL INFRASTRUCTURE TERMS

8.1 Intended Use

Our cold email infrastructure services are designed for legitimate business outreach:

  • B2B lead generation
  • Sales prospecting
  • Professional networking
  • Marketing to businesses

You MUST comply with all anti-spam laws including but not limited to:

  • CAN-SPAM Act (USA)
  • CASL (Canada)
  • GDPR (EU) – consent requirements for marketing emails
  • ePrivacy Directive
  • Australia’s Spam Act 2003

8.2 Prohibited Uses

You MAY NOT use our services for:

  • Sending unsolicited bulk email (spam)
  • Phishing or fraudulent emails
  • Malware distribution
  • Impersonation or spoofing
  • Harassment or threatening communications
  • Adult content or illegal services
  • Cryptocurrency scams or pump-and-dump schemes
  • Get-rich-quick schemes
  • Violating recipient opt-out requests

8.3 Deliverability and IP Reputation

USA IP addresses:

  • We provide USA-based IPs for better deliverability
  • IPs may be shared across multiple customers
  • Dedicated IPs available for Enterprise plans

Deliverability factors:

  • We configure technical settings (SPF, DKIM, DMARC) correctly
  • You are responsible for email content quality and sending practices
  • We do NOT guarantee inbox placement rates

We reserve the right to:

  • Monitor IP reputation and deliverability metrics
  • Suspend accounts damaging shared IP reputation
  • Reassign IPs if necessary for infrastructure health

8.4 Email Warmup and Sending Limits

Warmup requirements:

  • New accounts must follow warmup schedules
  • We provide guidance; you implement via your tools
  • Failure to warm up properly voids deliverability support

Google Workspace sending limits apply:

  • Business Starter/Standard/Plus: 2,000 emails/day per user
  • Enterprise: 5,000 emails/day per user
  • Limits set by Google, not Leads Monky

Violations of sending limits:

  • May result in Google suspension
  • We are NOT responsible for Google-imposed restrictions

8.5 Compliance Monitoring

We monitor for abuse:

  • Unusual sending patterns
  • Spam complaints and bounce rates
  • Blacklist appearances
  • Terms of Service violations

Anti-abuse actions:

  • Warning for first-time minor violations
  • Immediate suspension for severe violations
  • Account termination for repeat offenders
  • No refunds for abuse-related suspensions

9. ACCEPTABLE USE POLICY

See our separate Acceptable Use Policy for detailed prohibited activities. Summary of prohibited uses:

Illegal Activities:

  • Any illegal purpose or violation of laws
  • Infringement of intellectual property rights
  • Unauthorized access or hacking attempts

Harmful Content:

  • Malware, viruses, or harmful code
  • Phishing or social engineering attacks
  • Fraudulent or deceptive practices

Abusive Behavior:

  • Harassment, threats, or hate speech
  • Spamming or unsolicited bulk email
  • Network abuse or resource hogging

Violations result in immediate suspension or termination without refund.


10. INTELLECTUAL PROPERTY

10.1 Ownership

Leads Monky owns:

  • All website content, design, and branding
  • Documentation, guides, and tutorials
  • Service trademarks and logos
  • Proprietary configuration scripts

You own:

  • Your domain names
  • Your business data and content
  • Email content and user files

Google owns:

  • Google Workspace software and trademarks
  • Platform infrastructure and technology

10.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to:

  • Access our services during your subscription
  • Use documentation for internal business purposes
  • Display “Powered by Google Workspace” branding

This license terminates upon cancellation.

10.3 Trademark Usage

You may NOT:

  • Use Leads Monky or Google trademarks without permission
  • Imply endorsement or partnership beyond reseller relationship
  • Modify or create derivative logos

11. CONFIDENTIALITY

11.1 Confidential Information

Both parties agree to protect:

  • Business strategies and pricing
  • Technical configurations and credentials
  • Customer lists and data
  • Proprietary information marked as confidential

11.2 Exceptions

Confidentiality does NOT apply to:

  • Publicly available information
  • Information independently developed
  • Information required to be disclosed by law
  • Information disclosed with written consent

11.3 Security Measures

We implement reasonable security measures to protect confidential information, including encryption, access controls, and staff training.


12. WARRANTIES AND DISCLAIMERS

12.1 Service Warranty

We warrant that:

  • Services will be provided in a professional manner
  • We have authority to resell Google Workspace
  • Setup will follow industry best practices

12.2 DISCLAIMER OF WARRANTIES

SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do NOT guarantee:

  • Email deliverability rates
  • Inbox placement
  • Freedom from spam filters
  • Google Workspace uptime (see Google’s SLA)
  • Compatibility with all third-party tools

Google Workspace is provided by Google LLC. Google’s warranties and disclaimers apply to the core platform services.


13. LIMITATION OF LIABILITY

13.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED:

  • The amount you paid us in the 12 months preceding the claim, OR
  • $500 USD, whichever is less.

This cap applies regardless of the form of action (contract, tort, negligence, strict liability, or otherwise).

13.2 Exclusion of Damages

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Cost of substitute services
  • Damages resulting from third-party actions (including Google)

Even if we were advised of the possibility of such damages.

13.3 Exceptions

Liability limitations do NOT apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Violations of law that cannot be limited by contract

13.4 Google Workspace Liability

For issues with Google Workspace platform:

  • Your remedies are limited to Google’s Terms and SLA
  • We will assist in filing claims with Google
  • We are NOT liable for Google’s service failures

14. INDEMNIFICATION

14.1 Your Indemnification

You agree to indemnify, defend, and hold harmless Leads Monky from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your violation of these Terms
  • Your violation of applicable laws (anti-spam, privacy, etc.)
  • Your email content or sending practices
  • Infringement of third-party rights
  • Misuse of our services
  • Your negligence or willful misconduct

14.2 Our Indemnification

We will indemnify you against claims that our services infringe third-party intellectual property rights, provided you:

  • Notify us promptly of the claim
  • Give us control of the defense
  • Cooperate with our defense efforts

Our remedy: Modify the service, obtain a license, or terminate and refund prepaid fees.


15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by the laws of Pakistan without regard to conflict of law principles.

For international customers, local consumer protection laws may apply and supersede these terms where legally required.

15.2 Jurisdiction

For disputes that cannot be resolved amicably:

  • Jurisdiction: Courts of Lahore, Pakistan
  • Language: English

15.3 Informal Resolution

Before filing any legal action, you agree to:

  1. Contact us at info@leadsmonky.com describing the dispute
  2. Provide us 30 days to resolve the issue
  3. Engage in good-faith negotiation

15.4 Arbitration (Optional)

By mutual agreement, disputes may be resolved through:

  • Binding arbitration under Pakistan Arbitration Act 1940
  • Or international arbitration (ICC, LCIA) for cross-border disputes
  • Arbitration location: Lahore, Pakistan (unless otherwise agreed)

Arbitration costs: Shared equally unless arbitrator rules otherwise.

15.5 Class Action Waiver

You agree to resolve disputes individually, NOT as part of class action or collective proceedings. This waiver may not apply in jurisdictions prohibiting such waivers.


16. FORCE MAJEURE

We are NOT liable for delays or failures caused by events beyond our reasonable control:

  • Natural disasters (earthquakes, floods, pandemics)
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet infrastructure failures
  • Third-party service outages (Google, payment processors, hosting)
  • Power outages or telecommunications failures

Our obligations are suspended during force majeure events. If the event continues for more than 30 days, either party may terminate without penalty.


17. RELATIONSHIP OF PARTIES

Independent Contractors:

  • We are independent contractors, not partners or joint venturers
  • No agency, employment, or franchise relationship exists
  • Neither party has authority to bind the other

Reseller Status:

  • We are an authorized Google Workspace reseller
  • We act as intermediary between you and Google
  • Google is the ultimate service provider

18. MODIFICATIONS TO TERMS

18.1 Right to Modify

We may update these Terms at our discretion. Changes may include:

  • Service features and pricing
  • Legal or regulatory updates
  • Clarifications and improvements

18.2 Notice of Changes

Material changes will be communicated via:

  • Email to your registered address (at least 30 days before effective date)
  • Prominent notice on our website
  • Dashboard notification (if applicable)

Minor changes: Posted with updated “Last Updated” date.

18.3 Acceptance of Changes

Your continued use after the effective date constitutes acceptance.

If you do NOT agree:

  • Cancel your subscription before the effective date
  • Cancellation instructions in Section 5.2
  • No refunds for partial periods

19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Leads Monky.

Supersedes: All prior agreements, proposals, and communications (oral or written).

19.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect. Invalid provisions will be modified to the minimum extent necessary to make them enforceable.

19.3 Waiver

Our failure to enforce any right or provision does NOT constitute a waiver. Waivers must be in writing and signed by authorized representatives.

19.4 Assignment

You may NOT assign or transfer this Agreement without our written consent.

We may assign this Agreement:

  • To an affiliate or subsidiary
  • In connection with merger, acquisition, or sale
  • To a successor entity

You will be notified of any assignment affecting your service.

19.5 Survival

The following sections survive termination:

  • Payment obligations
  • Intellectual property
  • Confidentiality
  • Warranties and disclaimers
  • Limitation of liability
  • Indemnification
  • Dispute resolution

19.6 Notices

All notices must be sent to:

  • Email: 24 hours after sending

19.7 Language

These Terms are written in English. Translations may be provided for convenience, but the English version governs in case of conflict.

19.8 Headings

Section headings are for convenience only and do NOT affect interpretation.

21. ACKNOWLEDGMENT

BY PURCHASING OR USING LEADS MONKY SERVICES, YOU ACKNOWLEDGE THAT:

✓ You agree to be legally bound by this Agreement
✓ You have authority to enter into this Agreement
✓ You understand the No Refunds policy
✓ You will comply with all applicable laws and policies
✓ You accept the limitations of liability and disclaimers

If you do not agree, do not use our services.


These Terms of Service were last updated on April 1, 2026 and are effective immediately for new customers. Existing customers will receive 30 days’ notice before material changes take effect.
